1. Acceptance of Terms

By accessing or using EcuXprt ("the Service," "we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all users, including tuners with an active Tuner Pass subscription, clients linked to a tuner's project, and visitors browsing the platform.

2. Description of Service

EcuXprt is a web-based ECU calibration platform that provides professional tuners with tools to manage, edit, and version-control tune files (XDF & BIN), communicate with clients, and leverage AI-assisted tuning guidance. Features include:

  • Tune project management with full version control and commit history
  • XDF-based table editor with real-time collaboration
  • Encrypted file storage for XDF and BIN files
  • Tuner–client messaging and file sharing
  • AI Tuning Copilot for calibration guidance
  • Subproject and patch management

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Eligibility

You must be at least 18 years old to use EcuXprt. By creating an account, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal authority to enter into these Terms
  • You will use the Service only for lawful purposes
  • All information you provide during registration is accurate and current

4. Account Registration & Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

  • Provide accurate and complete registration information
  • Promptly update your information if it changes
  • Notify us immediately of any unauthorized use of your account
  • Not share your account credentials with any third party

We are not liable for any loss or damage arising from your failure to safeguard your account credentials.

5. Subscriptions & Billing

5.1 Tuner Pass

Access to the tune editor, version control, AI Copilot, and project management tools requires an active Tuner Pass subscription. Subscription fees are billed in advance on a recurring basis (monthly or annually) as selected at checkout.

5.2 Payment Processing

All payments are processed by Stripe. By providing payment information, you authorize Stripe to charge your payment method for the applicable subscription fees. We do not store your full card details. See our Privacy Policy for details.

5.3 Cancellation

You may cancel your subscription at any time from Dashboard → Billing. Cancellation takes effect at the end of the current billing period. You retain access to paid features until that date. We do not issue prorated refunds for partial billing periods unless required by applicable law.

5.4 Price Changes

We may change subscription pricing with at least 30 days' notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

5.5 Failed Payments

If a payment fails, access to Tuner Pass features may be suspended until the outstanding balance is resolved. We may attempt to retry failed charges in accordance with Stripe's billing policies.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with these Terms. You must not:

  • Upload or share files containing malware, exploits, or malicious code
  • Attempt to reverse-engineer, decompile, or disassemble any part of the platform
  • Circumvent or disable any security features, rate limits, or access controls
  • Use the Service to infringe on the intellectual property rights of others
  • Harass, threaten, or harm other users
  • Automate access to the Service in a way that places unreasonable load on our infrastructure
  • Resell or sublicense access to the Service without our written permission
  • Use the AI Copilot to generate content intended to deceive clients or circumvent safety standards

We reserve the right to suspend or terminate accounts that violate these conditions without prior notice.

7. ECU Tuning: Safety & Responsibility Disclaimer

Important Notice

ECU calibration modifications can materially affect vehicle performance, reliability, emissions compliance, and safety. By using EcuXprt, you accept full responsibility for all tuning decisions you make or implement.

Specifically, you acknowledge and agree that:

  • Modifying an ECU calibration may void the vehicle manufacturer's warranty
  • Tuning modifications may render a vehicle non-compliant with emissions regulations in your jurisdiction
  • Incorrect calibrations can cause engine damage, drivetrain failure, or safety hazards
  • EcuXprt is a tool platform; we do not certify, review, or validate any calibration you create or apply
  • You are solely responsible for verifying the safety and legality of any calibration you apply to a vehicle
  • AI Copilot suggestions are informational only and do not constitute professional engineering advice

EcuXprt is intended for use by experienced, professional ECU tuners. If you are unsure about the effects of a calibration change, consult a qualified engineer before applying it to a vehicle.

8. AI Tuning Copilot

The AI Tuning Copilot is an assistive tool. You agree that:

  • AI-generated responses are suggestions, not guaranteed-correct technical advice
  • You will apply your own professional judgment before acting on any AI output
  • You will not misrepresent AI-generated content as your own certified engineering analysis to clients
  • EcuXprt is not liable for outcomes resulting from reliance on AI Copilot output

AI usage is subject to fair-use limits. Excessive or abusive usage may result in rate limiting or account review.

9. Intellectual Property

9.1 Your Content

Your XDF and BIN files, calibration maps, and project data remain your intellectual property. By uploading content to EcuXprt, you grant us a limited, non-exclusive license to store, encrypt, process, and display that content solely to provide the Service to you.

We do not claim ownership of your tune files and will not use them for any purpose beyond operating the platform as described in our Privacy Policy.

9.2 EcuXprt Platform

The EcuXprt platform, including its UI, source code, branding, and documentation, is the exclusive property of EcuXprt. Nothing in these Terms grants you a right to use our trademarks, trade names, or intellectual property beyond what is necessary to use the Service as intended.

10. Client Relationships

If you are a tuner who adds clients to a project, you represent that you have obtained any necessary consent from those clients to share their vehicle information and communicate with them via EcuXprt. You are responsible for managing client access, including removing clients from projects when work is complete or a relationship ends.

EcuXprt is not a party to the tuner–client relationship. Any agreements, warranties, or obligations between you and your clients are solely between you and your clients.

11. Limitation of Liability

To the fullest extent permitted by applicable law, EcuXprt and its operators, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Vehicle damage resulting from calibrations created or applied using the platform
  • Loss of tune data, commit history, or project files due to service outages or data loss
  • Loss of business revenue or profits arising from platform downtime
  • Any harm resulting from reliance on AI Copilot output
  • Unauthorized access to your account due to your failure to secure your credentials

Our total liability to you for any claim arising out of or relating to these Terms or the Service will not exceed the amount you paid to EcuXprt in the three months preceding the event giving rise to the claim.

12. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure at all times
  • Any errors or defects will be corrected
  • The AI Copilot output will be accurate, complete, or appropriate for your vehicle

13. Indemnification

You agree to indemnify, defend, and hold harmless EcuXprt and its operators from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

14. Termination

We may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or conduct that harms other users or the integrity of the platform. Upon termination:

  • Your access to the Service is immediately revoked
  • Your data may be deleted in accordance with our Privacy Policy
  • Any outstanding subscription fees remain due and non-refundable

You may terminate your account at any time by canceling your subscription and submitting a deletion request via Dashboard → Support.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last Updated" date at the top of this page. For material changes, we will notify active users via email or an in-app notification at least 14 days before the changes take effect. Continued use of the Service after updated Terms take effect constitutes your acceptance of the new Terms.

16. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms or your use of the Service will be resolved through good-faith negotiation where possible. If unresolved, disputes will be subject to binding arbitration or the courts of the applicable jurisdiction.
